With dual experience in international law firms and as in-house counsel within an asset management company, Thibault advises on a broad spectrum of funds, including private equity funds (LBO, growth, venture), funds of funds, infrastructure funds, and real estate funds.
He assists clients with the establishment of international funds and the formation of regulated management companies in France and Luxembourg, drawing on in-depth knowledge of French and international legal frameworks, particularly in Luxembourg, the United Kingdom, and the United States.
Thibault has solid experience in both primary and secondary transactions. On the primary market, he advises asset managers from fund formation to closing, supporting them with fund documentation, regulatory strategy, investor negotiations, as well as the implementation of innovative incentive and distribution mechanisms designed to align the interests of sponsors and LPs (carried interest and other subscription mechanisms for management teams). He also works on dedicated mandates (separate managed accounts) and conducts fund legal reviews for managers and institutional investors.
On the secondary market, Thibault regularly assists clients with GP-led transactions, including continuation funds, as well as LP-led transactions (portfolio sales or acquisitions by LPs, or supporting management teams in handling secondary transfers within their funds).
Since 2022, Thibault has been teaching fund structuring as part of the Business Law & Management dual degree at the Faculté Libre de Droit de Lille in partnership with EDHEC.
